Distributor & Representative Agreement
Memorandum of Understanding (MOU)
BayBridge.shop โ a trading arm of 4Humans (Pty) Ltd
1. The Parties
4Humans (Pty) Ltd [CONFIRM: registration number], trading as BayBridge.shop, of [CONFIRM: physical address] ("the Company");
[Distributor full name] of [CONFIRM: address], operating as [CONFIRM: distributor's trading name] ("the Distributor").
2. Purpose and the Two Roles
The Distributor is an independent business owner, not an employee. The Distributor takes on two roles:
2.1 BayBridge Distributor: the Distributor buys BayBridge.shop products at wholesale prices and sells them at retail prices in their own patch, delivering personally and collecting payment at the door.
2.2 4Humans Representative: the Distributor may represent 4Humans (Pty) Ltd at community activities such as Zingo! nights, the Wastebin initiative and other giving-back events, as agreed from time to time. This role is voluntary and separate from the trading role.
2.3 In the BayBridge.shop community the Distributor's delivery service is branded"Help Heroes". References to the Distributor in this agreement include their Help Heroes role.
3. Products and Wholesale Pricing
3.1 The Company supplies the Distributor with products at agreed wholesale prices, set out on each order or price list provided by the Company.
3.2 The Distributor sets their own retail price within any price guidelines the Company publishes, and keeps the difference between wholesale and retail as their income.
4. Stock and Payment for Stock
4.1 Stock supplied to the Distributor remains the property of the Company until the Distributor has paid for it in full.
4.2 The Distributor pays for stock before taking further stock. The Company may agree to a short settlement cycle with a new Distributor [CONFIRM: e.g. pay within 7 days of delivery].
4.3 Unsold stock may be returned to the Company within [CONFIRM: e.g. 14 days] of delivery, provided it is undamaged and in its original condition, for credit towards the next order.
5. Collecting Payment from Customers
5.1 The Distributor collects payment at the door. Accepted methods: cash, card (using the Distributor's own card machine or Tap-on-Phone facility, operated in the Distributor's own business name), or instant EFT where agreed with the customer.
5.2 The Distributor is responsible for the safe handling of cash and for all card-acquiring fees on their own device.
5.3 Once payment is collected, the sale belongs to the Distributor; the Distributor owes the Company only the wholesale cost of the stock sold (clause 4).
6. Territory
6.1 The Distributor's patch is [CONFIRM: e.g. Fish Hoek and Clovelly]. The Company may assign other patches to other Distributors.
6.2 The patch is not exclusive unless agreed in writing. The Company may sell online to the same area.
7. Quality and Brand Standards
7.1 The Distributor presents the BayBridge.shop name and the 4Humans badge honestly, politely and neatly, and delivers orders within the promised window.
7.2 The Distributor may not sell products not supplied by the Company under the BayBridge.shop name, and may not make any claim about donations, charities or beneficiaries on the Company's behalf.
8. Conduct and Safety
8.1 The Distributor works safely: they plan their routes, carry reasonable cash limits, bank takings regularly, and treat every customer with respect.
8.2 The Company may withdraw products or end this agreement if the Distributor's conduct damages the trust of the community.
9. Term and Ending
9.1 This agreement starts on [CONFIRM: date] and continues until either party gives [CONFIRM: e.g. 14 days] written notice.
9.2 On ending, the Distributor returns or pays for all outstanding stock, and returns any BayBridge.sh branded materials.
10. Independent Business
The Distributor is self-employed. They keep their own earnings, are responsible for their own tax, and are not entitled to leave, benefits or a salary from the Company.
